What Actually Happens When You Replace Them
The change is a single filing, and Tenn. Code Ann. § 48-249-110 is the provision that governs it. Here is the whole sequence.
Get the incoming agent appointed before anything is filed. ZenBusiness stays on your public record until the state processes the change, so lining up the replacement first means the two overlap. Do it in reverse and there is a window where your listing names a company that no longer works for you, and a summons delivered into that window is still validly served. Nothing about switching requires you to accept that.
Confirm the new agent qualifies. Tennessee wants either an individual living in the state or an entity organized here or authorized to do business here, and the agent has to keep an office at the same street address the filing gives as your registered office. Those two addresses are one address, not two related ones. A post office box will not be accepted, and the address is written out with city, ZIP, and county.
Complete form SS-4534. The state's change-of-agent form asks for your entity name as Tennessee spells it, the control number the Secretary of State assigned you, and the incoming agent's name and Tennessee address. Sign up with us and you are handed every one of those details.

Worth remembering while you budget: Tennessee's LLC annual report is not a flat charge. It is $50 per member with a $300 minimum, so most small companies pay $300 and larger ones pay more.
