Tennessee does not publish a late fee for a missed LLC annual report. There is no escalating penalty schedule to absorb, which sounds forgiving until you learn what stands in its place. Under Tenn. Code Ann. § 48-249-604 the state heads toward administrative dissolution instead, and it opens that process by mailing a statutory notice giving you 60 days.
Where does that envelope go? To whatever address your record lists for the registered agent. It is the only warning shot in the whole sequence. Open it, file the report, and nothing further happens. Miss it and the state can dissolve the company, which leaves you with reinstatement paperwork, a gap in the record that banks and counterparties can see, and questions about your liability shield during the lapse.
So the registered agent line is not really a commodity purchase in this state. It is the address where the one warning arrives, and the whole value of the service is whether somebody reads it that day.
