Tennessee Tells You Its Worst Case
Think about how unusual this is if you have ever budgeted for anything.
Tennessee prices the LLC annual report at $50 per member. It sets a minimum of $300, which absorbs your first six members. And then it does something most sellers of anything never do: it publishes a ceiling. The fee stops at $3,000, which is where sixty members lands you, and no LLC in this state will ever be billed more than that for its report no matter how large it grows.
You can therefore write down, today, the absolute maximum this obligation will ever cost you. Not an estimate. A stated cap, on the state's own forms, years before you would reach it.

Order HereA price is published or it is not. In July 2026 we worked through Inc Authority's public pages looking for a renewal rate on standalone registered agent service and could not find one printed anywhere reachable without an order already in progress.
What is stated, clearly and often, is that the first year costs nothing. What we could not locate is the figure that replaces it.
We are leaving it there. No projected number, no adjective standing in for one, no range inferred from what the rest of the industry charges. Publishing a competitor's price that we have not seen would be the fastest way to make everything else on this site untrustworthy. The objection here is not that the renewal is expensive, since we genuinely do not know. The objection is that a state prepared to disclose its ceiling sixty members in advance is holding itself to a standard the vendor is not.
For balance on our own row: BetterLegal's price page shows $90 a year, under our figure, so the accurate description of $99 is one of the lowest published Tennessee rates rather than the lowest.
The Mechanics, and the Order They Go In
The mechanics are short. Form SS-4534 is the state's change-of-agent filing, the fee is $20, and it goes to the business-filings office in Nashville. It asks for your entity name, your control number, plus the name and Tennessee street address of whoever is taking over, which has to be a real location in the state rather than a post office box.
Sequence, and this is the part worth being careful about: appoint the replacement first, file second, confirm third, cancel last. Every day your company sits on the state register is a day it is supposed to have a functioning agent, and a filing still in the queue has not taken effect. Cancelling the old arrangement early does not speed anything up. It just leaves the seat nominally occupied by somebody who has stopped paying attention to it.
