Two Counters, Neither Watching the Other

Tennessee and Bizee are both counting something, and the two counters have nothing to do with each other.

Tennessee counts members. The LLC annual report is $50 for every member on the books, with a $300 minimum covering the first six and a $3,000 ceiling that arrives at sixty. Take on partners and the state's bill moves. A ten-member firm pays $500 a year for a filing that discloses no revenue whatsoever.

Bizee counts months. The included agent term is a function of which package you bought, nothing else. Three months on the entry tier, twelve at the top. When the count runs out, standalone pricing takes over at $149 a year.

Neither counter is a measure of service. One tracks your cap table, the other tracks a purchase you made once. What they share is that both bills can land on a growing company in the same season, and only one of them was on your calendar.

The field is wider than most owners assume, and you should know that before deciding anything. Tennessee will take an individual who genuinely resides in the state, and that includes a member of the LLC personally, provided the residency is real. It will also accept a corporation, nonprofit, LLC, or partnership formed here or authorized to do business here.

What the state will not accept is a mail drop. The registered office has to be a physical Tennessee address, recorded down to the county, and the agent has to keep an office at that same address rather than somewhere convenient nearby. A post office box is refused outright.

So the honest framing is that you have options, including free ones if somebody on the team lives here and does not mind their address appearing in a public database that gets scraped daily. Most owners decide that privacy and reliable coverage are worth $99. Some do not, and we would rather you knew the choice existed.

What if your report is due anyway? Then use it. Tennessee lets the agent change ride along on the annual report for the same $20 rather than as a separate submission, which saves you a filing rather than a fee. Just make sure the report itself is correct before you send it, since the report is the expensive part.

When is it safe to cancel Bizee? After the state's record shows the new agent, not before. Until the change is processed, your listing still names them, and an entity whose only listed agent has been fired is an entity with a hole in it. Appoint first, file second, confirm third, cancel fourth. That order has no downside and skipping it has one.
